\nThese\nService Terms and Conditions (in addition to Customer’s “Agreement”)\nare agreed to by and between Florida WiFi, LLC and the customer\n(“USER”) as designated on their Service Order. In\nconsideration of the mutual agreements and covenants set forth\nherein, the parties agree as follows:<\/p>\n\n\n\n
\nAccounts\nand Service:<\/strong> Florida WiFi, LLC shall provide USER with an\naccount (the “Account”) on Florida WiFi, LLC’s network,\nwhich will allow USER to access the Internet on the terms set forth\nherein and on the Service Order, as may be amended from time to time\nby Florida WiFi, LLC. USER’s Account will include (dependent of\naccount type) access to the World Wide Web, electronic (“e-mail”),\nand other Services commonly associated with the Internet\n(collectively, “Services”).<\/p>\n\n\n\n \nTerm\nand Billing:<\/strong> Florida WiFi, LLC will enable USER’s Account\nupon the date (the “Commencement Date”) of Florida WiFi,\nLLC’s acceptance of USER’s Service Order. USER shall promptly notify\nFlorida WiFi, LLC in writing or by e-mail of any changes in USER’s\nAccount information, such as changes in address or telephone number.<\/p>\n\n\n\n \nPayment:<\/strong> USER\nshall pay all fees, including the Monthly Service Fee, Setup Fee, and\nany other fees as set forth on the Service Order. Some non-contracted\nfees are subject to change without notice. \nMethod\nof Payment:<\/strong> All equipment, installation and non-revolving\nservices are to be prepaid. Recurring charges for ISP, hosting and\nother e-business services are billed monthly as set by the service\nagreement between USER and Florida WiFi, LLC. There may be a fee for\ncertain billing methodologies. Where an approved automatic payment\nmethod (i.e. credit card or electronic payment, etc.) is used,\nFlorida WiFi, LLC shall automatically debit payments by USER using\nthe original payment method specified or until modified by USER. When\nthe billing method is by “Invoice,” Florida WiFi, LLC shall\nuse e-mail, unless USER requests paper bills in which case USER will\nreceive bills by means of conventional mail and will be invoiced at\n$2.00 per each paper bill. Invoices are sent monthly and the terms\nare Net ten days from date of invoice.<\/p>\n\n\n\n \nCollection:<\/strong> There\nis a $25.00 service charge for each returned draft\/check. USER must\nnotify Florida WiFi, LLC at least fifteen working days before the\nnext payment is due if USER wishes to change the method of payment.\nDelinquent accounts may have their files purged. Any account that is\ndisabled must pay a reconnect fee equal to one month of service in\naddition to any past due fees and any charges assessed by Florida\nWiFi, LLC.<\/p>\n\n\n\n \nAccounting\nCycle:<\/strong> USER’s initial accounting cycle begins on the day\nafter completed installation and activation. The USER will be billed\nfor the remainder of the first month (pro-rated). USER’s permanent\naccounting cycle begins on the first day of the second month of\nservice. Thereafter, all accounts are billed monthly on the first day\nof the month.<\/p>\n\n\n\n \nAmendment:<\/strong> Florida\nWiFi, LLC reserves the right to change the terms and conditions of\nthis agreement and\/or any collateral agreements referenced herein,\nincluding the Acceptable Use Policy and the fee schedule, by\nnotifying USER on the Florida WiFi, LLC Web site (linked from\nhomepage) or by e-mail at least 30 days in advance of the effective\ndate of the change. Use by USER after the effective date constitutes\nacceptance of the new terms and conditions.<\/p>\n\n\n\n \nOffensive\nor Illegal Materials:<\/strong> Florida WiFi, LLC does not, knowingly,\npost illegal content of any kind. There is, however, no monitoring of\nmaterial posted to Florida WiFi, LLC’s Web sites, FTP sites, or\nhosted domains by the USER. Otherwise, Florida WiFi, LLC exercises no\ncontrol over the content of materials accessed through the Internet,\nincluding through the Florida WiFi, LLC network. Some materials\nposted by USERs or available through the Internet may be offensive to\ncertain groups of individuals.<\/p>\n\n\n\n \nAcceptable\nUse Policy:<\/strong> USER agrees to be bound by the provisions of\nFlorida WiFi, LLC’s Acceptable Use Policy, which is incorporated by\nreference as fully set forth herein and in the Customer Agreement,\nincluding all legal obligations arising there under.<\/p>\n\n\n\n \nLimitation\nof Liability and Indemnification:<\/strong> Florida WiFi, LLC nor its\nsubcontractors will be liable for any loss of data or damage to\nhardware that occurs during installation of or any service performed\non your computer in support of Florida WiFi, LLC Services. USER\nagrees that it is his\/her responsibility to completely backup his\/her\ncomputer before installation. USER further agrees that Florida WiFi,\nLLC and\/or its affiliates are not responsible for any problems with\nyour computer following the installation of or any subsequent service\nperformed on your computer in support of Florida WiFi, LLC Services.<\/p>\n\n\n\n \nYour\nexclusive remedy for any and all losses resulting from this\ninstallation of equipment and your use of the Services, including\nFlorida WiFi, LLC or its subcontractors negligence, will be limited\nto fees paid to Florida WiFi, LLC up to the time the damage is\ndiscovered.<\/p>\n\n\n\n \nNeither\nFlorida WiFi, LLC nor its network Services supplier will be liable\nfor unauthorized access to or alteration, theft or destruction of end\nuser’s data files, programs, procedures or information through\naccident, fraudulent means or devices, or any other method,\nregardless of whether such damage occurs as a result of company’s or\nits network service supplier’s negligence.<\/p>\n\n\n\n \nThese\nServices are provided on an “as is” and “as available”\nbasis without warranties of any kind either expressed or implied,\nincluding but not limited to warranties of title, non-infringement or\nimplied warranties of merchantability or fitness for a particular\npurpose. Neither Florida WiFi, LLC nor its affiliates warrant that\nthese Services will be uninterrupted or error free or that any\ninformation, software or the material accessible on the Services are\nfree of viruses or other harmful components.<\/p>\n\n\n\n \nFlorida\nWiFi, LLC, its affiliates or subcontractors will not be liable for\nany indirect, incidental, special, exemplary, punitive or\nconsequential damages of any nature including personal injuries,\nproperty damage or lose of business that result in any way from your\nuse or inability to use the Services or to access the Internet or any\npart thereof, or your reliance on or use of offers, claims,\nrepresentations, promotions and transactions, information, service or\nmerchandise provided on or through this Internet or the Services, or\nthat result from mistakes, omissions, interruptions, deletion of\nfiles, errors, defects, delays in operation, transmission or any\nfailure of performance.<\/p>\n\n\n\n \nUSER\nagrees to indemnify, defend and hold Florida WiFi, LLC, its\naffiliates and subcontractors harmless from any claims made by third\nparties arising out of the use of the equipment and\/or the Services\nprovided by USER or an authorized USER of your account, including the\nplacement or transmission of any message, information, software or\nother materials on the Internet.<\/p>\n\n\n\n \nThese\nlimitations on liability and indemnification provision inure to the\nbenefit and apply to: Florida WiFi, LLC, subsidiary and affiliated\ncompanies, any successor to Florida WiFi, LLC business by way of\nmerger, purchase of assets, or operation of law, and any\nsubcontractors performing work on behalf of Florida WiFi, LLC.<\/p>\n\n\n\n \nContent\nResponsibility:<\/strong> USER understands that neither Florida WiFi,\nLLC nor its network Services supplier is responsible for the content\nof the transmissions that may pass through the Internet and\/or the\nconnectivity Services. USER agrees that it will not use the\nconnectivity Services. USER agrees that it will not use the\nconnectivity Services in ways that violate laws, infringe the rights\nof others, or interfere with the users, Services, or equipment of the\nnetwork. For example, end user shall not distribute unsolicited\nadvertising, chain letters, or commercial electronic mail\n(“spamming”); propagate computer worms or viruses; attempt\nto gain unauthorized entry to other computers, data or networks;\ndistribute child pornography, obscenity, or defamatory material the\nInternet; or infringe copyrights, trademarks, or other intellectual\nproperty rights.<\/p>\n\n\n\n \nConnectivity:<\/strong> As\na user of the Florida WiFi, LLC Service, connection is automatically\ndisconnected upon: (a) Delinquent payment amount; or (b) detected\nillegal behavior. If Florida WiFi, LLC causes an error, delay,\ndefect, breakdown or failure in service, which is defined as lasting\nfor more than 4 hours during any calendar month (Service\nInterruption), an out-of-service credit will be calculated based on a\n9% daily prorated credit (1\/60) of any monthly service charge\nCustomer paid for service during the period of Service Interruption,\nprovided Service Interruption lasts for more than four (4)\nconsecutive hours after Florida WiFi, LLC receives notice of the\ninterruption from Customer. The maximum credit allowed shall not\nexceed the Monthly Charge for the service interrupted. No credit\nshall be available for difficulties such as Customer equipment\nfailure, Internet congestion, or other causes beyond Florida WiFi,\nLLC’s reasonable control. The above prorated credit provides\nCustomer’s sole remedy for any claim relating to this or Florida\nWiFi, LLC. Florida WiFi, LLC’s records and data shall be the sole\nbasis for all calculations and determinations.<\/p>\n\n\n\n \nDisclaimer\nof Consequential Damages:<\/strong> In no event will Florida WiFi, LLC\nor its network Services suppliers be liable for any damages,\nincluding, but not limited to loss of data, loss of revenue or\nprofits, or for any other special, incidental, indirect or\nconsequential damages, arising out of or in connection with the use\nof or inability to use Services or products provided hereunder.<\/p>\n\n\n\n \nExport\nCompliance:<\/strong> USER further agrees to comply with U.S. Export\nLaws concerning transmission of technical data and other regulated\nmaterials via the connectivity Services.<\/p>\n\n\n\n \nIP\nAddresses:<\/strong> Upon expiration, cancellation or termination of\nthe Agreement, USER shall relinquish any IP addresses or address\nblocks assigned to USER by Florida WiFi, LLC or its network services\nsupplier.<\/p>\n\n\n\n \nEquipment\nAccess:<\/strong> Customer may not use any forced means to reset,\nreverse engineer, modify or change hardware, software setting or\nradio location.<\/p>\n\n\n\n \nSurvival:<\/strong> This\nProvision 12 entitled Survival; Provision 10 above entitled Export\nCompliance and any provision in all Florida WiFi, LLC agreements or\npolicies which references ‘Indemnification’, ‘Limitation of\nLiability’, ‘Limitation of Damages’, and “Warranty Disclaimers’\nshall survive the termination of the Agreement.<\/p>\n\n\n\n \nForce\nMajeure:<\/strong> If the performance of any obligation hereunder is\ninterfered with by reason of any circumstances beyond Florida WiFi,\nLLC’s reasonable control including, but not limited to acts of God,\nlightning, wind, power surges or failures, labor strikes and other\nlabor disturbances, or the act or omission of any third party, shall\nbe excused from such performance to the extent necessary, provided\nthat Florida WiFi, LLC shall use reasonable efforts to remove such\ncauses of nonperformance.<\/p>\n\n\n\n Complete Agreement and Sever ability:<\/strong> This Agreement supersedes any other written or oral agreement, and represents the complete understanding between Florida WiFi, LLC and USER. If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law, the remaining provisions of this Agreement may be signed, but does NOT have to be signed to be enforced. Florida WiFi, LLC will\nprovide Services to SUBSCRIBER subject to this Agreement, and\nSUBSCRIBER agrees to pay for the Services when due by valid credit or\ndebit card, personal check, or cash.
SUBSCRIBER\nauthorizes Florida WiFi, LLC to perform a credit check prior to\nproviding any equipment or Services. If Subscriber’s payment is not\nreceived by the end of the workday on the tenth of the month will be\nconsidered past due. A $15.00 late fee will be charged. If the tenth\nfalls on a Saturday or Sunday, the payment will be considered late if\nnot received before the end of the workday on Monday. If an account\nbecomes one month past due services provided by Konceptio Data\nService will be interrupted until the account is paid in full. To\nreactivate services a reconnection fee of $50.00 will be required. If\npayment is not made in full, Florida WiFi, LLC has the right to\nrepossess the subscriber unit to offset monies owed without liability\nfor damage or trespass.<\/p>\n\n\n\n
